SINGLE END-USER SOFTWARE PRODUCT LICENSE AGREEMENT (“EULA”). IMPORTANT-READ CAREFULLY. --------------------------------------------------------------------------------------------------------------------- This QuickDeal End-User License Agreement (“EULA”) is a legal AGREEMENT between you (either an individual or a single entity) and WADMAX Technologies for the QuickDeal software product identified above, which product includes computer software and may include associated media, printed materials, and online or electronic documentation (“SOFTWARE PRODUCT” or “SOFTWARE”), to the extent such items are not accompanied by a separate license agreement or terms of use. Only if you accept the terms and conditions of this EULA will you be allowed to access to, download, copy or otherwise use the SOFTWARE PRODUCT. By installing, copying, or otherwise using the SOFTWARE PRODUCT, you agree to be bound by the terms of this EULA. IF YOU DO NOT AGREE TO ANY TERMS OF THIS EULA, YOU ARE NOT ALLOWED TO USE OR COPY THIS SOFTWARE PRODUCT; THEN DO NOT INSTALL, COPY OR USE THE SOFTWARE PRODUCT. The SOFTWARE PRODUCT is the intellectual property of and is owned by WADMAX Technologies. SOFTWARE is provided on an “AS IS” basis, without warranty of any kind, including without limitation the warranties of merchantability, fitness for a particular purpose and non-infringement. The entire risk as to the quality and performance of the SOFTWARE is borne by you. Should the SOFTWARE prove defective, you and not WADMAX Technologies assume the entire cost of any service and repair. This disclaimer of warranty constitutes an essential part of the agreement. Some jurisdictions do not allow exclusions of an implied warranty, so this disclaimer may not apply to you and you may have other legal rights that vary by jurisdiction. The SOFTWARE PRODUCT is protected by copyright laws and international copyright treaties, as well as other intellectual property laws and treaties. The SOFTWARE PRODUCT is licensed, NOT SOLD. WADMAX Technologies grants you a nontransferable, non-exclusive right to use the SOFTWARE PRODUCT. You can make copies of the SOFTWARE PRODUCT for the internal use. All the terms of this License remains valid for every such a copy. You cannot sell, loan, rent, lease or lend, or sublicense the SOFTWARE PRODUCT; transfer the rights on the SOFTWARE PRODUCT; remove any proprietary notices or labels on the SOFTWARE PRODUCT; modify, disassemble, reverse engineer, or decompile the SOFTWARE PRODUCT; distribute the sources of the SOFTWARE PRODUCT. The License to use the SOFTWARE PRODUCT has no termination date. WADMAX Technologies may terminate this license agreement if you fail to comply with the terms and conditions of this License. In such an event, you shall remove all the files related to the SOFTWARE PRODUCT from your storage media and cease any further use of the SOFTWARE PRODUCT. To the maximum extent permitted by applicable law, in no event shall WADMAX Technologies be liable for any special, incidental, indirect, or consequential damages whatsoever (including, without limitation, damages for loss of business profits, business interruption, loss of data, or your other pecuniary loss) arising out of the use of or inability to use the SOFTWARE, even if WADMAX Technologies has been advised of the possibility of such damages.
