1. LIMITED LICENSE GRANT.
Scand LTD grants to you [Licensee company] ("Licensee") a nonexclusive, nontransferable, worldwide, royalty-free license to use this binary version of the AWTX Treetable applet (the "Software").
The Licensee has the right to use the software according to the appropriate version and edition he obtained.
When referred to a site, a site means a location where all the web pages share a single fully qualified domain name.
a) general restrictions
Software may not be transferred, leased, assigned, or sublicensed, in whole or in part.
OWNERSHIP; LICENSE GRANT. This is a license agreement and NOT an agreement for sale. Scand continues to own the copy of the SOFTWARE contained on the disk or CD-ROM and all other copies that you are authorized by this LICENSE to make. Your rights to the SOFTWARE are specified in this LICENSE, and Scand retains all rights not expressly granted to you in this LICENSE. Scand hereby grants to you, and you accept, a non-exclusive, non-transferable license to use, copy and modify the SOFTWARE only as authorized below.
PROHIBITED USES. You may not, without the prior written permission of Scand:
* A. Disassemble, decompile or "unlock", decode or otherwise reverse translate or engineer, or attempt in any manner to reconstruct or discover any source code or underlying algorithms of SOFTWARE provided in object code form only.
* B. Use, copy, modify, or merge copies of the SOFTWARE and any accompanying documents except as permitted in this LICENSE.
* C. Transfer, rent, lease, or sublicense the SOFTWARE.
* D. Separate the software programs comprising the SOFTWARE for use by more than one user at a time.
SOURCE CODE. Scand grants you the right to use and modify the Scand source provided you purchased source code:
Scand shall retain all right, title and interest in and to all updates, modifications, enhancements and derivative works, in whole or in part, of the Scand Source Code created by you, including all copyrights subsisting therein, to the extent such modifications, enhancements or derivative works contain copyrightable code or expression derived from the Scand source code; provided, however, that Scand grants to you a fully-paid, royalty free license, to use copy and modify such updates, modifications, enhancements and derivative works or copies thereof for use as authorized in this LICENSE. But we do not support any changes made by yourself. You may not distribute the Scand source code, or any modified version or derivative work of the Scand source code, in source code form. The source code contained herein and in related files is provided to the registered developer for the purposes of education and troubleshooting. Under no circumstances may any portion of the source code be distributed, disclosed or otherwise made available to any third party without the express written consent of Scand. Under no circumstances may the source code be used in whole or in part, as the basis for creating a product that provides the same, or substantially the same, functionality as any Scand product. The registered developer acknowledges that this source code contains valuable and proprietary trade secrets of Scand. The registered developer agrees to expend every effort to insure its confidentiality. SOURCE CODE IS SOLD AS IS. IF YOU PURCHASE THE SOURCE CODE THE SALE IS FINAL. SCAND DOES NOT PROVIDED ANY TECHNICAL SUPPORT FOR SOURCE CODE.
REDISTRIBUTABLE COMPONENTS.
* A. In addition to the license and rights granted in Sections I and II, Scand grants you the right to use [and extend] the presentation layer framework portion of the SOFTWARE which is either on disk, CD-ROM or electronic format (collectively "PLF") provided:
* You may use the PLF to create your own components, as long as, it is NOT the basis for creating a product that provides the same, or substantially the same, functionality as any Scand product; and Scand shall retain all right, title and interest in and to all improvements, modifications, extensions and derivative works, in whole or in part, of the PLF created by you, including all copyrights subsisting therein, to the extent such improvements, modifications, extensions or derivative works contain copyrightable code or expression derived from the PLF; provided, however, that Scand grants to you a fully-paid, royalty free license, to use copy and modify such improvements, modifications, extensions and derivative works or copies thereof for your own internal uses as authorized in this LICENSE.
* B. In addition to the license and rights granted in Sections I and II, Scand grants you a nonexclusive, royalty-free right to reproduce and distribute the object code version of those portions of the SOFTWARE designated in the SOFTWARE as (i) those portions of the SOFTWARE which are identified in the documentation as the VBX ("VBX") and/or OCX ("OCX") Controls and/or DLL Controls and/or class files and/or jarfiles; (ii) those portions of the SOFTWARE which are identified in the documentation as REDISTRIBUTABLE DLLs ("DLLs"); provided: you distribute the REDISTRIBUTABLES in object code form only in conjunction with and as part of your software application product which adds significant and primary functionality; you do not use Scand' name, logo or trademarks to market your software application product; you include a valid copyright notice on your SOFTWARE; and
* C. In addition to the other requirements set forth in this Section V, you hereby agree to indemnify, hold harmless, and defend Scand from and against any and all liabilities, damages, losses, costs and expenses (including reasonable attorneys' fees) arising from or related to any claim, action, proceeding or allegation that arise or result from the use and distribution of any of your software application product(s) or components.

a) specific restrictions
The licensee is not permitted to expose, either directly or indirectly, any API that allows programmatic access to the class libraries.
The licensee is not permitted to distribute the applets in any fashion which would promote, encourage or allow reuse or redistribution of the applet.
c) disclaimer of warranty
The Software is provided "AS IS," without a warranty of any kind.
ALL EXPRESS OR IMPLIED REPRESENTATIONS AND WARRANTIES, INCLUDING ANY IMPLIED WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE OR NON-INFRINGEMENT, ARE HEREBY EXCLUDED.
IF THIS DISCLAIMER IS NOT ALLOWED BY YOUR RESPECTIVE LAW THEN CONTACT SCAND LTD TO CHECK IF THE DISCLAIMER CAN BE RELAXED IN YOUR CASE. THE RELAXATION CAN ONLY BE GIVEN BY WRITTEN CONSENT.
d) limitation of liability.
IN NO EVENT WILL SCAND LTD BE LIABLE FOR ANY LOST REVENUE, PROFIT OR DATA, OR FOR DIRECT, INDIRECT, SPECIAL, CONSEQUENTIAL, INCIDENTAL OR PUNITIVE DAMAGES HOWEVER CAUSED AND REGARDLESS OF THEORY OF LIABILITY ARISING OUT OF THE USE OF, INABILITY TO USE OR DOWNLOADING OF THE SOFTWARE, EVEN IF SCAND LTD HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
IF THIS LIMITATION IS NOT ALLOWED BY YOUR RESPECTIVE LAW THEN CONTACT SCAND LTD TO CHECK IF THE LIMITATION CAN BE RELAXED IN YOUR CASE. THE RELAXATION CAN ONLY BE GIVEN BY WRITTEN CONSENT.
2. EDITIONS
The conditions of the specific editions extend the general license.
a) free edition
The Licensee has the right to use the software at no cost if ALL the following conditions are met.
* if it is used by PRIVATE PERSONS
* the free edition only applies if used by individuals (physical persons)
ALL CONDITIONS MUST BE MET AT THE SAME TIME
b) advanced edition
The Licensee has the right to use the software if ALL of the following conditions are met:
* for use within one company
* for use within one application
* support is restricted for 12 months from date of purchase and consists of support of only described on the http://scand.com features corresponding to the advanced version. Support doesn't assume any change requests or further development of the applet.
ALL CONDITIONS MUST BE MET AT THE SAME TIME
c) source code - developer license
The Licensee has the right to use the software if ALL of the following conditions are met:
* for use within one company (licensee) - source code can be used only within Licensee company and cannot be distributed in any form to any third party as described in this license. You are responsible for this privacy.
* there are no limitations on application/processor number.
* you can modify the sources as you like without any additional restrictions except those mentioned above. Any change requests are payed additionaly. Our support is limited to the questions regarding any existing classes and methods. We could ask you to pay for any additional questions (like your own development issues). We do not support any changes made by yourself.
* source code license does not assume any other type of license included, it is a separate deal. Source code does not include the byte-code support and simply provides aditional privacy guarantor and 'independence' from our regular change requests support.
* when you receive the source code - the deal is final.
ALL CONDITIONS MUST BE MET AT THE SAME TIME
d) source code - limited license
The Licensee has the right to use the software if ALL of the following conditions are met:
* for use within one company (licensee) - source code can be used only within Licensee company and cannot be distributed in any form to any third party as described in this license. You are responsible for this privacy.
* you cannot modify the sources by any way. You must purchase the developer license instead.
* we asssume you purchase this license as an additional privacy guarantor to your current advanced edition license, so you can use it for code referencing purposes only.
* when you receive the source code - the deal is final.
ALL CONDITIONS MUST BE MET AT THE SAME TIME
IF THESE RESTRICTIONS ARE NOT ALLOWED BY YOUR RESPECTIVE LAW THEN CONTACT SCAND LTD TO CHECK IF THE RESTRICTIONS CAN BE RELAXED IN YOUR CASE.
3. COPYRIGHT
SCAND LTD and its licensors retain all ownership rights to the software and related documentation. Use of the software and related documentation is governed by the license agreement accompanying the software and applicable copyright law.
The documentation must always follow the related software. Making unauthorized copies, adaptations, or compilation works is prohibited. SCAND LTD may revise this documentation from time to time without notice.
THIS DOCUMENTATION IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND. IN NO EVENT SHALL SCAND LTD BE LIABLE FOR ANY LOSS OF PROFITS, LOSS OF BUSINESS, LOSS OF USE OR DATA, INTERRUPTION OF BUSINESS, OR FOR INDIRECT, SPECIAL, INCIDENTAL, OR CONSEQUENTIAL DAMAGES OF ANY KIND, ARISING FROM ANY ERROR IN THIS DOCUMENTATION.
This means that the software and documentation come with no warranty, without any limitation. No liability of any kind can be accepted and this the fullest extent. If your law doesn't allow this, then do not use this software and documentation.
